可将自有 SaaS 上架出售、订阅或融资；须保证披露真实，并履行交付义务。

May list owned SaaS for purchase, subscription, or fundraising. Must keep listing metrics truthful and fulfill delivery obligations.

可购买授权或订阅。支付标价（gross）；平台费从卖方结算款中扣除，不向买方加价。

May buy licenses or subscribe. Pays the listed gross price; platform fee is withheld from the seller payout, not added on top.

可认购进行中的股权 / SAFE / 收入分成轮次。达到 KYC 门槛须实名；股权与 SAFE 在适用地区须完成合格投资人确认。

May commit to equity, SAFE, or revenue-share rounds that are live. Tickets at or above the KYC threshold require identity verification; equity/SAFE require accredited-investor attestation where applicable.

提供上架、托管、抽成、争议调解与打款通道；不保证投资回报或产品业绩。

Provides listing, escrow, fee collection, dispute mediation, and payout rails. Does not guarantee investment returns or product performance.

费率为成交额（gross）的 10%。卖方 / 创始人实收 90%。适用于购买、订阅续费、以及已结算的投资认购。

Fee rate is 10% of gross. Seller / founder receives 90%. Applies to purchase, subscription renewals, and investment tickets that settle.

买方与投资人按标价支付；平台从对手方结算款中扣留抽成。标价须由卖方自行考虑抽成后的净收入。

Buyers and investors pay the listed gross. The platform withholds the fee from the counterparty payout. Listed prices must already include the intended seller economics.

融资轮次未能交割时，投资本金全额退回，平台不保留抽成。

If an investment round fails to close, investor capital is returned in full and the platform fee is not retained.

买方款项进入托管，最长 3 天，期间卖方须交付授权、席位或源码包。

Buyer funds are held in escrow for up to 3 days while the seller delivers the license, seats, or source package.

买方确认交付后放款给卖方（扣平台费）；若无争议，7 天后自动放款。

Funds release to the seller (minus platform fee) when the buyer confirms delivery, or automatically after 7 days with no open dispute.

交付不完整或与描述严重不符时，买方可在 14 天内申请全额退款。确认交付后仅可通过争议机制救济。

Buyer may request a full refund within 14 days if delivery is incomplete or materially not as described. After successful delivery confirmation, only dispute-based remedies apply.

付款后（或试用开始时）立即开通。每个付费账期按 gross 计费，平台在每次续费时从卖方扣抽成。

Access starts immediately after payment (or at trial start). Each paid cycle is charged gross; platform fee is withheld from the seller on every renewal.

首个付费账期的前 7 天可按比例退款取消；其后账期原则上不退，平台重大故障可折算服务日补偿。

Within the first 7 days of the first paid cycle, the buyer may cancel for a prorated refund. Later cycles are non-refundable except for platform outages credited as service days.

买方可随时取消，权益保留至当前已付费周期结束。卖方可暂停上架，但须履约至有效订阅周期结束。

Buyer may cancel anytime; access continues until the end of the current paid period. Seller may pause a listing but must honor active subscriptions through period end.

投资人按不低于票面下限认购。正式打款指令生效前有 24 小时冷静期（机构户可豁免）。

Investor commits at or above the listing minimum ticket. A 24-hour cooling-off period applies before wire instructions finalize, unless waived for institutional accounts.

资金托管至轮次达到披露的交割条件（目标或软帽）。交割成功后创始人收取扣除平台费后的净额，持仓记入投资账本。

Capital stays in escrow until the round hits its close condition (target or soft-cap as disclosed). On successful close, founder receives net of platform fee; instruments are recorded on the position book.

到期未能交割则投资人 100% 退回 gross，平台不收取抽成。

If the round expires without close, every investor is refunded 100% of gross. Platform fee is waived.

单笔 ≥ $10,000 须 KYC。股权与 SAFE 在适用法域须完成合格投资人声明。

Tickets ≥ $10,000 require KYC. Equity and SAFE listings require accredited-investor attestation where the investor's jurisdiction mandates it.

投资可能本金全部损失；上架展示的 MRR/增长不构成未来业绩承诺。Founder OS 非券商；部分工具可能属于私募。

Investments can lose all capital. Past MRR or growth on a listing is not a promise of future performance. Founder OS is not a broker-dealer; certain instruments may be private placements.

待支付 → 托管中 → 已放款 / 已退款 / 争议中 →（放款后）待打款 → 已打款。

pending_payment → escrowed → released | refunded | disputed → (if released) payout_scheduled → paid_out.

放款后按 T+3 工作日向卖方/创始人发起净额打款（已扣平台费）。

After release, payout to the seller/founder is initiated on a T+3 business-day schedule, net of the platform fee.

支付网络拒付将回滚买方资金；平台可追回卖方已打款并冻结上架待审。

Payment-network chargebacks reverse buyer funding. Platform may claw back seller payouts and freeze the listing pending review.

在托管期或退款窗口内，任一方可在交付/认购后 14 天内发起争议。

Either party may open a dispute within 14 days of delivery/commit while funds are escrowed or within the refund window.

平台在 5 个工作日内调解。证据可含上架文案、交付物与沟通记录。

Platform mediates within 5 business days. Evidence may include listing copy, delivery artifacts, and chat logs.

可全额退买方/投资人、部分分割、或全额放给卖方/创始人。平台费随裁定走（全额退买方时退回抽成）。

Full refund to buyer/investor, partial split, or full release to seller/founder. Platform fee follows the winning allocation (fee refunded on full buyer refund).

不得故意虚报 MRR、用户、增长与健康分；重大变化须在新交易前更新上架信息。

MRR, users, growth, and health scores must not be knowingly falsified. Material changes require updating the listing before new trades.

卖方可暂停上架，但须继续履行托管中订单与有效订阅。平台可对欺诈、侵权或制裁风险强制下架。

Sellers may pause listings; open escrows and active subscriptions must still be honored. Platform may takedown for fraud, IP theft, or sanctions risk.

禁止恶意软件、盗版、非法博彩、受制裁地区销售；禁止承诺投资保本保收益。

No malware, stolen IP, illegal gambling, or sanctioned-region sales. No guaranteeing investment returns.

可选精选曝光每周 $49–$199，或成交额外 +2%–5%。

Optional featured placement $49–$199/week or +2%–5% on closed GMV.

加急放款、源码鉴证、交接审核，每单 $99–$499。

Express release, source attestation, handover review at $99–$499 per deal.

整产品出售成功费 3%–8%（最低 $2,000）。

3%–8% success fee on full-product sales (minimum $2,000).

轮次交割成功后收募资额 1%–2%，叠加票面 10%；流局免除。

1%–2% of raised capital when a round closes, stacked on the 10% ticket fee. Waived on failed rounds.

尽调报告 $199–$999；增长诊断每产品每月 $29–$79；AI 节省分成 10%–20%。

Diligence reports $199–$999; growth add-ons $29–$79/product/mo; AI savings share 10%–20% of verified cuts.

打包额外 +5%；白标集市 $199–$499/月；线索分发须披露，CPL 或成交抽成。

Bundles add +5% take; white-label rooms $199–$499/mo; lead exchange via disclosed CPL or rev-share.
